Terms of Service

Agreement to these terms

These Terms of Service govern your access to and use of Nemesis, including the macOS app, website, backend services, subscription features, and related support. By downloading, installing, purchasing, or using Nemesis, you agree to these terms.

If you do not agree, do not use Nemesis.

Who provides Nemesis

Nemesis is provided by Middle Middle, LLC. In these terms, "Nemesis," "we," "us," and "our" refer to Middle Middle, LLC and the Nemesis product.

The service

Nemesis is productivity software that helps you stay focused by monitoring focus sessions you start and interrupting apparent distractions. It is not medical, therapeutic, employment, compliance, safety-critical, or emergency software.

Nemesis may classify activity incorrectly. You are responsible for deciding when and how to use the app, whether to follow its prompts, and whether the product is appropriate for your situation.

Eligibility and accounts

You must be legally able to enter into these terms. You are responsible for keeping your device, email account, subscription access, and local app settings secure.

License

Subject to these terms and your active subscription status, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Nemesis for your personal or internal business productivity use.

You may not copy, modify, distribute, sell, lease, sublicense, or host Nemesis except as expressly allowed by these terms or applicable law.

Subscription, trial, and billing

Nemesis has one plan: a 3-day free trial, then $12.99/month. Your subscription renews monthly unless you cancel before the renewal date.

Checkout, renewals, cancellations, invoices, and payment methods are handled by Polar. By subscribing, you authorize Polar and its payment providers to charge the payment method you provide for recurring subscription fees, taxes, and applicable charges.

Prices may change in the future. If the price changes for an existing subscription, we or Polar will provide notice as required by applicable law or platform rules.

Cancellation and refunds

You can cancel through the Polar customer portal. Cancellation stops future renewals but does not automatically refund past charges.

For billing problems or refund requests, contact ethan@middlemiddlellc.com. Refunds may be handled by Polar and are considered case by case unless a refund is required by law.

Acceptable use

You agree not to:

• abuse, overload, interfere with, or attempt to disrupt Nemesis or its backend services;
• bypass subscription validation, payment flows, rate limits, or access controls;
• reverse engineer, decompile, or attempt to extract source code except where allowed by law;
• use Nemesis to violate the rights, privacy, or security of others;
• submit unlawful, harmful, or abusive content through support or app workflows; or
• use Nemesis in a setting where an incorrect classification, interruption, audio output, or automation action could cause harm.

Automation actions

Nemesis may request macOS Automation permission for optional actions such as closing a distracting tab or app. You are responsible for reviewing and choosing those actions. Do not use automation features where closing a tab, window, or app could cause data loss, safety issues, compliance problems, or other harm.

Third-party services

Nemesis relies on third-party services for hosting, classification, roast generation, text-to-speech, downloads, subscription validation, payment processing, and subscription management. Those services may change, become unavailable, or operate under their own terms and policies.

We are not responsible for third-party services that we do not control, but we choose providers that are necessary for operating Nemesis.

Intellectual property

Nemesis, including the app, website, design, copy, logos, mascot, code, and related materials, is owned by Middle Middle, LLC or its licensors and is protected by intellectual property laws. These terms do not transfer ownership of Nemesis to you.

If you send feedback, suggestions, bug reports, or ideas, you allow us to use them without restriction or compensation.

Privacy

Our Privacy Policy explains how Nemesis handles information. By using Nemesis, you acknowledge that information will be handled as described there.

Updates and changes

We may update Nemesis to add, change, or remove features; fix bugs; improve security; or maintain compatibility. We may also update these terms. If changes are material, we will update the date above and may provide additional notice where appropriate.

Availability

Nemesis may be unavailable, inaccurate, delayed, interrupted, or discontinued. We do not guarantee that the app, backend, AI providers, speech providers, payment providers, downloads, or subscription validation will always work.

Disclaimer

Nemesis is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Middle Middle, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, device issues, or loss of goodwill arising from or related to Nemesis.

To the fullest extent permitted by law, our total liability for any claim related to Nemesis will not exceed the amount you paid for Nemesis in the three months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless Middle Middle, LLC from claims, damages, liabilities, costs, and expenses arising from your misuse of Nemesis, violation of these terms, or violation of another person's rights.

Termination

You may stop using Nemesis at any time. We may suspend or terminate access if you violate these terms, create risk for us or others, or use Nemesis in a way that could harm the product, backend, or other users.
